Intralot announces launch of senior notes offering

Intralot SA Integrated Lottery Systems and Services announced the launch of €450 million senior notes offering by subsidiary Intralot Capital Luxembourg SA.

Greece.- INTRALOT S.A. Integrated Lottery Systems and Services announced pursuant to laws 3556/2007 and 3340/2005 and the implementing decisions 1/434/03.07.2007 and 3/347/12.07.2005 of the Hellenic Capital Markets Commission that its indirect subsidiary Intralot Capital Luxembourg S.A. (the “Issuer”), plans to proceed with an offer of €450 million Senior Notes due 2024 (the “Notes”). The Notes will be guaranteed on a senior unsecured basis by INTRALOT S.A. (the “Parent Guarantor”) and certain of its subsidiaries.

The Notes will be offered in Greece only to “qualified investors” within the meaning of article 2 par. 1 (f) of Law 3401/2005, as amended by virtue of Law 4099/2012 (transposing into Greek law Directive 2010/73/EU, amending Directive 2003/71/EC).

They are also expected to be admitted to trading on the Luxembourg Stock Exchange’s Euro MTF market. The proceeds of the offering of the Notes, if completed, are expected to be used to fully redeem the Issuer’s existing 6.00 percent senior notes due 2021, repay the outstanding syndicated facilities, pay fees and expenses related thereto and to the offering and for general corporate purposes.

The following information relates to the current performance and is derived from internal management accounts for the month of July 2017, and has not been audited, reviewed or verified by auditors and there should not be placed undue reliance on it.  For the seven months ended July 31, revenue and EBITDA were €841.5 million and €104.7 million, respectively, an increase of €104.8 million and €4.5 million (14.2 percent and 4.5 percent), compared to €736.7 million and €100.2 million for the seven months ended July 31, 2016. Financial performance in July of 2017 was otherwise in line with seasonal trends.
