Macau.- Macau casino operator Sands China Ltd has proposed issuing new US dollar-denominated senior unsecured notes to refinance US$700m in debt due in March 2027. In a Hong Kong Stock Exchange filing on Tuesday, October 27, the company said the proposed offering would target professional investors. The principal amount, interest rate and other terms have yet to be determined.

Sands China said it intends to use the net proceeds, together with cash on hand, to redeem in full its outstanding US$700m senior notes carrying an interest rate of 2.300 per cent and maturing on March 8, 2027. The company also plans to repay the outstanding balance under its 2024 revolving credit facility and fund general corporate purposes, including capital expenditure.

Sands China has appointed Barclays Capital Inc., BofA Securities Inc. and Goldman Sachs & Co. LLC as joint bookrunners for the proposed notes issue. The banks will conduct the book-building process to determine the terms of the offering. Sands China said the notes, if issued, would be repayable at maturity unless redeemed or repurchased earlier in accordance with their terms.

The company said it had received an eligibility letter from the Hong Kong Stock Exchange. The notes will not be offered to the public or placed with connected persons of Sands China. The company cautioned that no binding agreement for the proposed offering had been signed as of the announcement date. Completion remains subject to market conditions and investor interest, and the transaction may not proceed.
