Macau.- The casino operator MGM China Holdings Limited<\/strong> has announced plans to issue USD-denominated senior notes through an international offering aimed at professional investors. The company said the transaction will be conducted via a book-building process. <\/p>\n\n\n\n

Pricing, size and final terms of the notes have not yet been determined and will depend on market conditions and investor demand. The notes will be issued on a senior unsecured basis and are expected to be repayable at maturity, unless redeemed or repurchased earlier in line with their terms.<\/p>\n\n\n\n

Deutsche Bank AG, Singapore Branch, and J.P. Morgan Securities (Asia Pacific) Limited have been appointed as joint coordinators. The notes will not be registered under the US Securities Act and are being offered outside the United States under Regulation S, and within the US only to qualified institutional buyers under Rule 144A. The offering will not be made to the public in Hong Kong.<\/p>\n\n\n\n

Proceeds from the issuance, assuming it’s completed, are expected to be used mainly to partially repay borrowings under the company\u2019s 2025 revolving credit facility, with the remainder allocated to general corporate purposes. The facility may be re-drawn after repayment. Approval to list has been granted in principle.<\/p>\n\n\n
