Tabcorp to acquire BetMakers in US$188m deal

The acquisition will accelerate Tabcorp’s technology transformation and expand its international B2B wagering capabilities.

Australia.- Tabcorp has agreed to acquire wagering technology provider BetMakers Technology Group for AU$267.3m (US$188.6m). It will acquire 100 per cent of BetMakers’ issued shares for AU$0.24 (US$0.17) per share in cash, implying an equity value of around AU$282.9m (US$199.7m). The price represents a 45.5 per cent premium on BetMakers’ closing share price on August 7.

Eligible BetMakers shareholders will have the option to receive 25 per cent, 50 per cent, 75 per cent or 100 per cent of their consideration in new Tabcorp shares, subject to a cap under which shares can account for a maximum of 25 per cent of the total consideration. Tabcorp said the transaction will accelerate the modernisation of its wagering technology stack, establish a global B2B growth engine and provide greater speed and efficiency across the business.

Matt Davey, BetMakers executive chairman, said the proposed scheme provides shareholders with “a compelling opportunity to realise certain value at an attractive premium”. Jake Henson, BetMakers CEO, said Tabcorp’s scale and capabilities are expected to provide “a strong platform for the next phase of investment, product innovation and international growth”.

Completion is expected in Q3 FY2027, but the acquisition remains subject to several conditions, including approval by BetMakers shareholders, court approval, clearance from the Australian Competition and Consumer Commission (ACCC), and gaming and racing regulatory approvals across the jurisdictions where BetMakers and its subsidiaries operate. It’s not subject to a financing condition, Tabcorp shareholder approval or further due diligence.

BetMakers’ board has recommended that shareholders vote in favour of the transaction, subject to an independent expert report and provided no superior proposal emerges. Directors, who represent approximately 10 per cent of shares outstanding, intend to vote in favour.
