CIRSA is a Spanish gaming group with interests in casinos, gaming machines, sports betting and online gaming.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">CIRSA announced the proposed merger on September 2, 2026, saying it had signed a <strong>binding agreement<\/strong> with Lottomatica. The deal would see Lottomatica absorb CIRSA through an EU cross-border merger, with Lottomatica continuing as the surviving company. The announcement was made through a regulatory \u201cInside Information\u201d disclosure filed in Spain on the same day.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The accompanying press release, \u201cRecommended All-Share Combination of Lottomatica and CIRSA &#8211; Creating a Global Gaming Champion,\u201d said the transaction would create the second-largest listed <strong>gaming and sports betting operator<\/strong> globally, with pro forma adjusted EBITDA of approximately \u20ac2bn, including \u20ac101m in run-rate operating cost synergies.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Lottomatica CEO <strong>Guglielmo Angelozzi<\/strong> said: \u201cWith the combination of Lottomatica and CIRSA, two extremely successful companies, we create the undisputed leader in Italy and Spain.\u201d He added that the deal would provide \u201cmore <strong>avenues of growth <\/strong>especially in online\u201d.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">CIRSA has interests in four of Morocco\u2019s seven casinos, including two in Agadir, one in Tangier and a 50 per cent stake in Grand Casino La Mamounia in Marrakech, <a href=\"https:\/\/focusgn.com\/africa\/spanish-gambling-giant-cirsa-invests-50-stake-in-moroccos-la-mamounia-casino\" data-type=\"post\" data-id=\"15386\" target=\"_blank\" rel=\"noopener\">acquired in November 2025<\/a>. CIRSA\u2019s 2025 results said the Marrakech acquisition consolidated its position in Morocco with four of the country\u2019s seven casinos.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Morocco<\/strong> is also included in the combined group\u2019s addressable market, alongside Italy, Spain, Panama, Colombia, Mexico, Peru and Portugal.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Ownership, returns and impact<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Under the proposed transaction, CIRSA<strong> shareholders<\/strong> would receive 0.668 new Lottomatica shares for each CIRSA share. Following completion, Lottomatica shareholders would own approximately 67.5 per cent of the enlarged company, while CIRSA shareholders would hold 32.5 per cent. Blackstone is expected to hold about 24 per cent.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For Morocco, the immediate impact would be a change in <strong>corporate ownership<\/strong> rather than a newly announced Moroccan investment programme. The companies have not announced a specific new Moroccan casino development or Moroccan online betting expansion as part of the transaction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The merger is expected to generate around \u20ac115m in annual <strong>pre-tax cash benefits<\/strong>. Separately, Lottomatica said on September 7, that the combined group could generate approximately \u20ac200m to \u20ac300m in incremental online EBITDA, on a run-rate basis, by the third year after closing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">CIRSA will distribute an extraordinary \u20ac262m dividend to its shareholders before completion.
