Either party can terminate for convenience with 90 days’ written notice, while the agreement automatically renews for successive 24-month periods unless notice is given. Techlott has also filed a Form 8-K with the US Securities and Exchange Commission disclosing the agreement.

Under the agreement, Techlott will supply and operate the technology backbone for the Operator’s nationwide lottery. Before launch, the company will implement the platform to meet Gambian regulatory requirements, customise the offering, establish information-security protocols, conduct acceptance testing and train staff.

From launch, Techlott will host the platform and provide DevOps and server management, security maintenance, monitoring, maintenance releases and code-level support for the life of the contract.

Techlott CEO Yakir Abadi said the definitive agreement marked a key step beyond the company’s January commercial framework. “Signing a definitive agreement with the exclusive licence holder is the step that matters,” Abadi said. “A letter of intent describes intent. This contract obligates both sides.”

He described The Gambia as Techlott’s “first national deployment” and said the company would launch and prove its system in live, regulated operation. Techlott’s compensation will include a tiered percentage of gross platform revenue, defined as the total amount of bets and purchases made by end users through the platform.

Five-year deal takes shape

The agreement also provides for minimum monthly payments of US$7,000, beginning on August 15, 2026. Techlott said the structure ties its income to top-line wagering volume rather than the Operator’s net gaming results and begins generating contracted revenue for the company this month.

The deal covers the same Gambia deployment announced in January 2026, when the engagement was structured through Evyatech Ltd. Under the new agreement, Techlott now contracts directly with the holder of The Gambia’s exclusive lottery and gaming licence. The August announcement does not identify the licence holder by name.

Techlott president Mark Katzenelson said the company would handle implementation, acceptance testing and staff training before launch, followed by hosting, monitoring and technical support. “What an operator buys from us is not a promise of technology – it is responsibility,” Katzenelson said.

Chief technology officer Ben Harris said Techlott would be accountable for the infrastructure from launch, including hosting, server management, security maintenance and continuous monitoring. “Running a national lottery is an operations job, not a demo,” Harris said. He added that the architecture includes draw logic, verifiable randomness and audit-ready records operating as a single platform under regulatory oversight.

Executive chairman Eldar Edmond Grady described the agreement as the company’s “first agreement of its kind” and said Techlott intends to use it as a template for other regulated markets.

Techlott, formerly known as AppYea Inc., develops infrastructure for regulated lottery, draw-based gaming and outcome-verification markets through its Techlott platform and NeoDraw architecture.

   See also:

See also: FCCPC, Lagos gaming regulator reaffirm consumer protection at iLOTBET prize presentation

Exclusive licence holder signs binding agreement as Techlott prepares to power national lottery platform.

Techlott Inc. has formalized a five-year binding revenue-share agreement with The Gambia's exclusive lottery and gaming licence holder to power the nation's lottery platform.
